Articles & Capital Structure

The Articles & Capital Structure is one of the tabs of the Electronic Minute Book Form. The Articles & Capital Structure tab allows you to set out the capital of structure of the company and any amendments to it.

To set the capital structure of a Company

1. Open the Electronic Minute Book Form
2. Click on the Articles & Capital Structure tab
3. Enter the details of the Articles containing the capital structure including
   1. Articles Date
   2. Artictiels Type
   3. Articles URL (Use this field if you have an electronic copy of the Articles stored in the cloud by entering the URL of the Articles)
   4. Notes re Articles (Enter any notes you may have about the articles such as a summary)
4. If the Articles creates a Share Class, click on the Add Share Class subtab
5. Enter the Share Class information including
   1. Share Class Name
   2. Whether the share class is certificated
   3. Whether the share class is issuable in series
   4. How many shares of the class the corporation can issue
   5. Share attributes including
      1. Voting/Non-Voting
      2. Redeemable
      3. Retractable
      4. Dividend Rights
      5. Liquidation Rights
